CTM360 Community Edition End User License Agreement
This License Agreement ("Agreement") is hereby established between CTM360 and the business entity referred to as the "Customer," to grant the User a non-exclusive, non-transferable revocable license to access and utilize CTM360’s Community Edition Platform.
The User by selecting the checkbox hereby acknowledges and consents to the terms and conditions outlined in this agreement and warrants possessing complete power, capacity, and authority to view the Data on behalf of the Customer and access the Community Edition Platform.
1. Definitions
- Customer: The business entity or organization that has granted authorization for the User to access the Platform.
- User: The individual employee, agent, or contractor of Customer for whom access is enabled to use the Platform under this Agreement, and who has been supplied user credentials for Platform access by CTM360.
- Data: All Customer information accessible on the platform which is sourced and acquired from the public domain.
- Platform: The Community Edition which is a free version offering select features of CTM360's consolidated platform to help organizations understand and manage their external digital risk.
- License: The grant of rights to the Customer to utilize the Community Edition Platform from the date of acceptance until CTM360 revokes access.
- Confidential Information: All information and materials disclosed, furnished, communicated, made available, or supplied by either the Customer or CTM360. This includes but is not limited to all information and data, in whatever form or medium, in which either Party has a proprietary or ownership interest, information and data relating to both Party’s information.
The Customer and CTM360 herein shall be individually referred to as “Party” and collectively as the “Parties”
2. Use of License
- Purpose: This Agreement applies to the Platform made available by CTM360 to provide maximum value to the community at no cost, making it accessible to small and medium-sized enterprises (SMEs) to take control and strengthen their external cybersecurity defenses.
- Scope: The Platform allows the Customer to access the following features:
- Proactively monitor and mitigate external risks
- Detect and respond to cyber threats by utilizing 3 takedown credits for brand-targeted incidents
- Evaluate the external cyber risk scores of organizations worldwide
- Strengthen protection against email spoofing and impersonation attacks by implementing the global DMARC framework on email-sending domains.
3. Representations and Limited Warranties
- The Customer is granted a non-exclusive, non-transferable, license to access and use the Platform and may not use this for sale, resale, publication, or distribution. The Customer accepts that the software service is delivered as it is, and the only warranty applicable is the warranty expressly stated in the agreement.
- CTM360 will establish a unique user ID and password for each User for the purpose of granting access to the Platform. The User shall be responsible for the misuse or abuse of any user ID, password, or other security measure provided byCTM360.
- CTM360 warrants that the Platform will be delivered in a professional, workman-like manner in accordance with generally recognized industry standards based on best efforts.
4. Limitation of Liability
- CTM360 shall not be liable for any injury, loss, claim, liability, or damage of any kind resulting from any misuse, negligence, or omissions relating to the Platform or the unavailability or interruption of the Platform or any acts of third parties.
- CTM360 disclaims any responsibility for the use of the software service in any other way or for any other purpose other than the intended purpose set out by CTM360.
- CTM360 shall not be liable for any misuse of the User's access and the provision of consent to perform actions on the Platform. The User acknowledges and agrees that they are solely responsible for the use and security of their login credentials and access to the Platform.
- CTM360 shall not be responsible for any actions, transactions, or activities carried out on the Platform under the authority of the User, irrespective of whether such actions were performed with or without the knowledge or consent of the User
- The User acknowledges and agrees that any liability arising from the use of the Platform rests entirely with the Customer.
5. Confidentiality
- The Customer and CTM360 hereby reserve any rights, titles, and interests, including any Intellectual Property Rights, that it may have in or to any Confidential Information that it may disclose to the other Party under this Agreement.
- The Customer and CTM360 shall protect the confidential information disclosed by either party against any unauthorized use or disclosure to the same extent that each party may protect its own Confidential Information, but in no event shall use less than a reasonable standard of care.
- Confidential Information or trade secrets shall not be used or disclosed to any third party about the business of CTM360 or about the software service that is acquired either legally or illegally, except where such information is public knowledge, without prior written consent from CTM360.
6. Termination
- CTM360 retains the authority to revoke the Customer's access anytime at its sole discretion, thereby automatically terminating the Customer from this Agreement.
- CTM360 reserves the right to terminate this agreement if the Customer breaches any obligations outlined herein. This agreement becomes effective upon the Customer's initial software usage and remains in effect until either party terminates it.
- The Customer may terminate this Agreement at any time by notifying CTM360 and ceasing all use of the Platform and associated documentation.
7. Restrictions
- The Customer agrees not to and will not permit others to:
- Enable any person or entity other than Customer to access and use the Platform
- License, sell, rent, lease, assign, distribute, use, transmit, host, outsource, disclose, or otherwise commercially exploit the Platform or make the Platform available to any third party.
- Access or use the CTM360 Platform or documentation or deliverables for purposes of competitive analysis or the development, provision, or use of competing products or services;
- Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Platform.
- Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of CTM360’s Platform.
- Use or permit others to use the Platform or services other than as described in this Agreement, or for any unlawful purpose.
8. Takedown Request and Actions.
- If the User requests a takedown or any corresponding action on the Platform, CTM360 will perform the appropriate action based on this explicit consent by the User, who is acting on behalf of the Customer. CTM360 will not be held liable for any willful or unknowing misuse of any privileges granted to the User. It is the responsibility of the User to maintain the integrity of their account, not re-share their accounts with any third parties, and responsibly perform actions that their account permits.
- The Customer acknowledges and agrees that CTM360 does not have direct control over the processing of takedown requests by source Platforms or third-party providers. CTM360 shall not be liable for any delays, failures, or outcomes related to the processing of takedown requests.
9. Intellectual Property
- All such Intellectual Property Rights (copyrights, patents, trademarks, trade secrets, title, and ownership rights) belong to CTM360, except to the extent that the information contained therein is in the public domain or is licensed to CTM360 by a third party. CTM360 warrants that the Platform and the granted license to the Platform will not infringe upon or misappropriate any third party's intellectual property.
10. Severability
- If any provision of this Agreement is illegal or unenforceable under applicable law, the remainder of the provision will be amended to achieve as closely as possible the effect of the original term, and all other provisions of this Agreement will continue in full force and effect.
11. Governing Laws:
- If any provision of this Agreement is determined to be invalid under the jurisdiction of the courts of The Kingdom of Bahrain, unlawful or otherwise unenforceable, such provision will be deemed to be severed from this Agreement and every other provision of this Agreement will remain in full force and effect.
12. General
- CTM360 reserves the right to modify the Agreement at any time and this shall be notified to the Customer through email/ Platform.
